These terms apply to every company, establishment and independent professional who registers as a supplier to AYMA Signature through the Supplier Portal. They are accepted at registration and complement the contract and purchase order of each project, which prevail in case of conflict.

1. Registration and qualification

1. The supplier declares that the information and documents it submits are accurate, current and its own, and informs AYMA Signature of any change without delay.
2. Registration is not an award. AYMA Signature decides at its discretion whom it qualifies and whom it invites to quote.
3. Approval is valid for one year from its date, unless the supplier is suspended or excluded earlier.

2. Invitations to quote and awards

1. The supplier quotes only through the template and channel of each invitation, before its deadline.
2. A quotation binds the supplier for its stated validity. An award is made only by a purchase order and a project contract issued by AYMA Signature.

3. Confidentiality

1. The supplier keeps confidential all information it receives from AYMA Signature: project details, drawings, prices, schedules, and the identity of AYMA Signature's clients.
2. The supplier does not contact AYMA Signature's clients directly about a project it works on through AYMA Signature, and does not publish photographs, names or details of such a project without written approval.

4. Integrity and conflicts of interest

1. The supplier offers no gift, payment or benefit to any AYMA Signature employee or client representative in connection with any business.
2. The supplier discloses any relationship that may create a conflict of interest.

5. Compliance

1. The supplier complies with the laws and regulations of the Kingdom of Saudi Arabia that apply to its work, including labour, health and safety, tax and e-invoicing requirements.
2. The supplier keeps its commercial registration, tax registration, licences and insurances valid for as long as it is registered.

6. Quality, safety and conduct on site

1. The supplier delivers to the specifications, quantities and schedule agreed, and follows the site, safety and conduct instructions of AYMA Signature and of the venue.
2. The supplier's staff and subcontractors act under its responsibility.

7. Invoicing and payment

1. Payment follows the schedule of the project contract, against a financial claim submitted on the portal and a valid tax invoice.
2. Bank details are changed only through AYMA Signature Procurement and are verified before any payment.

8. Communication

Official communication on a project goes through the Supplier Portal and the e-mail address registered by the supplier.

9. Personal data

AYMA Signature processes the supplier's data to register, qualify, contact and pay it, in accordance with the Personal Data Protection Law of the Kingdom of Saudi Arabia.

10. Evaluation, suspension and exclusion

1. AYMA Signature evaluates the supplier at the closure of each project; the supplier reads its score on the portal.
2. Inaccurate information, a breach of these terms, or poor performance may lead to suspension or exclusion. An excluded supplier cannot register again without an exception approved by the management of AYMA Signature.

11. Amendments

AYMA Signature may amend these terms. A new version is published on this page with its date and applies from that date.
